Terms of Service

These Terms of Service ("Terms") govern your use of the website at runwellnetwork.com, the Nearside mobile application, and related products and services (the "Services"), provided by Runwell Network, a division of AWLCo Limited, LLC ("Runwell", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Not an Emergency Service — Important Safety Notice

Nearside is an informational directory. It is not an emergency service, a crisis hotline, a medical or mental-health provider, or a substitute for professional care.

If you or someone else is experiencing a medical or mental-health emergency, or is in immediate danger, call 911. To reach the Suicide & Crisis Lifeline, call or text 988. Crisis and resource phone numbers listed in Nearside connect you directly to those third-party providers; Runwell is not a party to and does not handle those communications.

2. What the Services Do

Nearside helps you discover local behavioral health and social-service resources, such as treatment, recovery, housing, food, and crisis support. Listings are compiled from public and authoritative sources, including SAMHSA's FindTreatment.gov and state and county behavioral-health agencies.

3. No Medical Advice; No Endorsement

The Services do not provide medical, clinical, legal, or professional advice and do not recommend or endorse any provider. You are responsible for evaluating any resource and for any decision to contact or engage a provider. Always seek the advice of a qualified professional for medical or mental-health concerns.

4. Accuracy of Listings

We work to keep listings accurate and current, but information comes from third parties and may be incomplete, outdated, or incorrect. We do not warrant the accuracy, availability, eligibility terms, hours, or services of any listing. Confirm details directly with the provider before relying on them.

5. Accounts

You may use Nearside without an account. If you create an account, you are responsible for the activity under it and for keeping your sign-in method secure. One Runwell account works across Runwell Network products. You may delete your account at any time in Account Settings → Delete account, at runwellnetwork.com/delete-account, or by emailing us.

6. Acceptable Use

You agree not to misuse the Services, including by attempting to disrupt or compromise them, scraping or harvesting data without authorization, infringing others' rights, or using the Services for any unlawful purpose.

7. Intellectual Property

The Services, including their software, design, and content (excluding third-party listing data and trademarks), are owned by Runwell or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that listings are accurate or complete.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUNWELL AND AWLCO LIMITED, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS ARISING FROM YOUR USE OF, OR RELIANCE ON, THE SERVICES OR ANY LISTING. Our total liability for any claim relating to the Services will not exceed one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless Runwell and AWLCo Limited, LLC from claims and expenses arising out of your misuse of the Services or violation of these Terms.

11. Changes to the Services or Terms

We may modify or discontinue the Services and may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Your continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Lucas County, Ohio.
